Caribou is looking to expand its business in Romania and is thus looking for a partner to help them navigate the Romanian business market. Given your expertise in the commercial and legal domains, they choose you as a partner to help them establish a new company in Romania.

For this matter, Caribou prepared more than $ 300,000, 2 tones of coffee beans and some equipment for their first step. They want to invest all this in a way that will offer them the possibility to expand very fast in the near future. They would prefer a concentrated approach in order to be able to analyze the evolution in the first year and then take a decision regarding the following steps.

You have to analyze the Romanian provisions in regards to a LLC COMPANY (limited liability company – SRL) and establish how you and Caribou are going to start an activity as partners. Please determine as a team:  •

Who will be associated in the new Romanian LLC company alongside Caribou (a new company formed by the team or each team member or only one team member etc.)

How you will be associated in the LLC (participation)

All the elements of the constitutive act, as you would draft them in your new company

All the formal requirements for the incorporation of the company (try to show all the forms in material or electronic forms)
